Grassy Hill Men's Association By-Laws
1.
NAME OF CLUB
1.1.
The name of the club will the The Grassy Hill
Men's Association for the purposes of this document, it will hereinafter be
referred as the GHMA
2.
PURPOSE OF CLUB
2.1.
To provide organized golf tournament play for the members of GHMA.
2.2.
To make the Golf Club open to any adult golfer interested in playing
competitive golf.
2.3.
To provide a variety of tournaments for the members of the club that are fair and competitive.
2.4.
To promote good sportsmanship and a sense of fair play under the rules
of golf as stated by the

0RGANIZATION
3.1.
BOARD OF DIRECTORS
The Board of directors shall consist
of the following elected officers:
PRESIDENT - The president
shall preside at all Board and membership meetings of the association and shall
have the power and perform the duties usually incumbent upon a presiding officer. The president will have the power to break
tie votes in matters of the GHMA.
VICE-PRESIDENT
- The vice-president shall
have all the powers and shall perform
all the duties of the president in his absence. The vice-president shall serve
as tournament Chairman and be responsible for planning, organizing and
supervising of all tournaments. The chairman shall submit a proposed schedule and
format to the BOD prior to the golf season and shall be responsible for
determining all tournament winners. The
tournament budget will be approved by a majority vote of the Board prior to the
start of the season.
SECRETARY - The secretary shall record the minutes of all
meetings of the membership and Board of Directors, conduct the official
correspondence, send notice of meetings, coordinate website development and maintain an accurate record
of the proceedings of the association.
TREASURER - The treasurer shall receive and
disburse funds of the association and keep accurate record of all receipts and
disbursements.
HANDICAP/RULES CHAIRMAN - The chairman shall be responsible for all aspect of
handicapping along with all aspects of the rules and regulations of the
association. All decisions shall be in
accordance with the requirements of the men's association and the USGA
handicapping system. The handicap/rules chairman must participate
in a USGA Handicap Seminar and become certified.
3.2.
TERM LIMITS
3.2.1.
It will be the obligation of the nominating committee to ensure there is
a continuous change on the board. It is
recommended officers change positions and are encouraged to serve at different
positions.
3.2.2.
Officers may only serve for a total of six(6)
consecutive years on the board. After
sitting out for one(1) year, they may run again for a
position on the board.
3.2.3.
Officers may hold a specific office for three(3)
consecutive years. At the end of three(3) years, they
must vacate that position unless they are unopposed in the following election.
3.3.
The nominating committee shall present a slate of officers at the annual
meeting. Nominations will not be
accepted from the floor. Each officer's position shall be voted on
individually. There will be off year
voting on rotating positions up for election (President, Secretary and Handicap
Chairman odd years; Vice President and Treasurer on the even years). This would
begin with all positions voted on at the annual meeting in 2010. Elected officers and any appointed committee chairmen and members shall
take office the following January 1 and serve until December 31 of the same
year.
3.4.
The Board Of Directors will be responsible for the following;
3.4.1.
Establishing all membership dues
and tournament payouts
3.4.2.
Determining the size of club membership
3.4.3.
Approving all expenditures
3.4.4.
Directing all club activities
3.4.5.
Conduct monthly meetings during the golf season (April-Oct)
3.4.6.
The Board of Directors shall not provide funds for any Board events
3.5.
Mid-term Vacancy (Board of Directors)
3.5.1.
If a mid-term vacancy develops on the board of directors, the following
should take place:
3.5.1.1.The position along with a sign-up
sheet should be posted on the GHMA bulletin board for potential candidate to
submit their names.
3.5.1.2.The board of directors will meet
with each candidate and then vote for a person to fill the open position.
4.
MEMBERSHIP
4.1.
The GHMA will be open to any person who is 18 years of age or older.
4.2.
To become a member both Grassy Hill Preferred Tee fees and Annual Dues
payment must be paid in full. This payment must be submitted with a completed
club application by the stipulated date determined each year by the BOD.
4.3.
All new membership applications are subject to approval based on the
number of vacancies in the club membership.
4.4.
All existing members are automatically approved provided:
4.4.1.
They were fully paid members in the prior year.
4.4.2.
They pay their dues and Preferred tee fees by
the stipulated date.
4.4.3.
The existing member followed all the rules of the GHMA.
4.5.
Membership is neither owned or deeded, and therefore, can not be sold or
transferred.
4.6.
All members in good standing can:
4.6.1.
Hold office
4.6.2.
Vote on any issues brought before them
4.6.3.
Participate in any club tournaments
4.6.4.
Participate on any club committee they are appointed to
4.7.
Any member may be reprimanded, suspended or expelled by the Board of
Directors for conduct unbecoming a member. The member shall be given an
opportunity to defend himself/herself. The decision of the board shall be
final.
5.
COMMITTEES / RESPONSIBILITIES
5.1.
Tournament committee
5.1.1.
Shall consist of an elected Chairman(VICE-PRESIDENT)
and a number of members as determined by the Chairman.
5.1.2.
Shall
have the responsibility of formulating and recommending to
the Board the tournament schedule for the golf fiscal year
including format and prize structure
5.1.3.
Shall be responsible for coordinating tournament schedule and
tournaments with the golf professional.
5.1.4.
Shall
be responsible for making any alterations or amendments
to the tournament
schedule. All changes must be approved by
the Board.
5.1.5.
Shall meet once per week to review
all scorecards pertinent to the previous weekend’s tournament and to determine
that weekends winners.
5.1.6.
In order for a major tournament to
be held, the Board must certify that the membership are
able to participate in an accepted manner for proper results.
5.2.
Handicap/ Rules committee
5.2.1.
Shall consist of the currently elected
Handicap/Rules Chairman and the following:
-- President of GHMA
-- Vice-President (Tournament
Chairman)
-- Club's Golf Professional
-- 3 members selected by the
Handicap/Rules Chairman
5.2.2.
Shall be responsible for the handicapping of all members in accordance
with the requirements specified by the GHMA and the USGA handicapping system.
5.2.3.
Shall be responsible for verifying that all acceptable scores are
reported for handicap purposes.
5.2.4.
Shall be responsible for working with the golf professional in
developing local rules for the purpose of assuring fairness in golf activities.
5.2.5.
Shall be responsible to evaluate and respond to complaints regarding
rules violations and etiquette.
5.3.
Nominating committee
5.3.1.
At least eight(8) weeks prior to the annual
meeting, the Board of directors shall appoint a nominating committee made up of
a minimum of three (3) members of the
association. At least four (4) weeks prior to the annual meeting, this committee
shall submit to the Board recommended candidates to fill each elective office
beginning Jan. 1st. At least two(2) weeks prior to the annual meeting, a list of all
final candidates shall be either e-mailed or sent via postal service to each
member with an additional copy posted at the Grassy Hill clubhouse.
Voting shall be conducted by a show of hands at the annual
meeting. The individual receiving the largest number of votes for each position
shall be declared the winner. In case of ties, the President shall have the
power to break the tie, thus prohibiting him from voting in the election of
officers. In the case of voting for the President, if the incumbent is running
then the Vice-President will not be able to vote for that position as he will break
any ties. The Vice-President can vote for the other positions. The nominating
committee shall supervise the other positions.
6.
AMENDMENTS
6.1.
Any member of the association may
propose amendments to these by-laws and the Board shall introduce the proposed
amendment for voting by the membership at the next annual meeting The member
may then submit a petition to the Board signed by at least fifteen (15) members
of the association and the Board shall then introduce the proposed amendment
for consideration at the next annual meeting. Any such proposal must be
approved by a majority of the members present at the meeting. A quorum shall be
defined as the members attending the annual meeting.
